Senior Manager Governance (Contract)

We are seeking an experienced Senior Manager Governance to join our Governance and Accountability team on a contract basis. This is a unique opportunity to play a key role in the review, enhancement and implementation of Rabobank Australia's corporate governance framework during an important period of governance uplift and regulatory change.

About the Role

Reporting to the Executive Manager Governance and Accountability, you will provide specialist corporate governance expertise to support the ongoing development and operationalisation of Rabobank Australia's corporate governance framework. Working and collaborating with senior executives, legal, risk and compliance stakeholders, you will help ensure corporate governance practices remain aligned with regulatory obligations and industry best practice.

This role will suit a hands-on corporate governance professional who enjoys navigating complexity, driving outcomes and partnering with senior stakeholders to deliver meaningful governance improvements.

Key Responsibilities

  • Support corporate governance uplift initiatives and regulatory change programs.
  • Conduct gap analysis against legislative, regulatory and governance requirements.
  • Review, draft and maintain constitutions, charters, policies, standards, procedures and corporate governance documentation.
  • Develop and manage action plans to deliver governance outcomes and stakeholder approvals.
  • Partner with a diverse range of stakeholders across Legal, Risk, Compliance and Executive Leadership.
  • Prepare governance papers, reports, presentations and supporting materials for senior management and Board-related governance activities.
  • Drive process improvements and contribute to the continuous enhancement of corporate governance practices and frameworks.

About You

You are an experienced corporate governance specialist with the confidence and credibility to engage with senior leaders and influence outcomes.

You'll bring:

  • 4+ years' experience in corporate governance, supporting a Company Secretary, Chief Governance Officer or similar function.
  • Proven experience advising Boards and supporting governance frameworks.
  • Strong experience drafting and reviewing Constitutions, Board and Committee Charters, policies and governance documentation.
  • Knowledge of the Australian regulatory and compliance environment.
  • Exposure to regulatory change management and governance uplift initiatives.
  • Exceptional stakeholder management skills, including engagement with Executive and C-suite leaders.
  • Outstanding written communication and technical drafting capability.
  • Strong project management, planning and organisational skills.
  • Advanced Microsoft Office skills.

Highly Regarded

  • Governance-related qualifications.
  • Experience within banking, financial services or a highly regulated industry.
